Terms of Service

1. Who we are and what these terms cover
These Terms of Service (“Terms”) govern access to and use of the AxonTron platform — the web application at axontron.com, its portals, APIs, and AI assistants (the “Service”) — provided by AxonTron, Inc. (“AxonTron,” “we,” “us”), Newark, Delaware. By using the Service you agree to these Terms. If you use the Service on behalf of a medical practice or other organization, you represent that you are authorized to bind that organization, and “Customer” means that organization.
2. The Service and customer agreements
AxonTron provides AI-assisted administrative and clinical-workflow software for healthcare organizations. For covered entities, the Service is provided under a signed customer agreement and a Business Associate Agreement (BAA); if these Terms conflict with a signed customer agreement or BAA, the signed agreement controls.
3. Not medical advice
The Service supports — and never replaces — the judgment of licensed professionals. AxonTron does not provide medical advice, diagnosis, or treatment. AI-generated drafts (notes, codes, appeals, replies) require review and approval by an authorized human before submission or entry into the record, and the responsible clinician or biller remains accountable for approved content. Patients: the Service is not for emergencies — call 911.
4. Accounts and acceptable use
Accounts are provisioned by AxonTron (for practice administrators) or by your practice (for staff and patients). You are responsible for safeguarding your credentials and for activity under your account. You agree not to: misuse or attempt to bypass security or human-approval gates; access data of another tenant or another patient; use the Service to violate law (including HIPAA); probe, scrape, or reverse engineer the Service; or submit content you have no right to submit.
5. Customer data and PHI
As between the parties, Customer owns its data, including protected health information (“PHI”). We process PHI only as permitted by the applicable BAA and use it to provide and secure the Service. We do not sell personal information, and our AI providers are engaged under terms that prohibit training their models on Customer data. Data-handling details are in the Privacy Policy; export and offboarding are described in the Data Deletion Policy.
6. Fees
Fees, billing cadence, and payment terms are set in the applicable order form or customer agreement. Patient payments made through the portal are processed on behalf of the practice named on the statement.
7. Intellectual property
AxonTron owns the Service, including software, models’ orchestration, and interfaces. Customer receives a limited, non-exclusive, non-transferable right to use the Service during its subscription. Feedback may be used to improve the Service without obligation.
8. Availability, warranties, and disclaimers
We work to keep the Service available (see status) but do not warrant uninterrupted or error-free operation. EXCEPT AS EXPRESSLY STATED IN A SIGNED CUSTOMER AGREEMENT, THE SERVICE IS PROVIDED “AS IS” AND ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, ARE DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUES, AND EACH PARTY'S AGGREGATE LIABILITY ARISING OUT OF THE SERVICE IS LIMITED TO THE FEES PAID OR PAYABLE BY CUSTOMER IN THE TWELVE MONTHS BEFORE THE CLAIM. These limits do not apply to a party's breach of confidentiality, misuse of PHI, or amounts owed under an indemnity in a signed agreement.
10. Termination
Customer may terminate as set out in its agreement; we may suspend or terminate access for material breach, security risk, or unlawful use, with notice where practicable. Upon termination we return Customer data and then delete it per the Data Deletion Policy.
11. General
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. We may update these Terms; material changes will be notified to practice administrators and posted here with a new effective date. Questions: support@axontron.com.
